SANTA FLORA LIMITED
TERMS AND CONDITIONS OF SERVICE

1. DEFINITIONS
“Client” means any individual, company or organisation engaging Santa Flora Limited. “Services” means design, manufacture, supply, delivery, installation, removal and related services provided by Santa Flora.
2. QUOTATIONS
All quotations remain valid for 30 days unless otherwise stated.
Prices may be revised if project specifications change.
3. BOOKINGS AND DEPOSITS
A booking is confirmed only when:
• The quotation is accepted in writing; and
• The required deposit has been received.
Unless otherwise agreed, a 50% deposit is required.
4. FINAL PAYMENT
The balance must be paid no later than 14 days before installation.
Santa Flora reserves the right to suspend work where payment has not been received.
5. CUSTOM DESIGNS
All bespoke installations are custom-made.
Payments for custom production, materials and labour are non-refundable once production has commenced.
6. CHANGES TO PROJECTS
Any changes requested after approval may result in additional charges and revised installation schedules.
7. ACCESS TO SITE
The Client is responsible for ensuring safe and unrestricted access to the installation location. Delays caused by restricted access may incur additional
costs.
8. INSTALLATION
Installation times are estimates only.
Santa Flora shall not be liable for delays caused by venue restrictions, weather conditions, transportation issues, force majeure events or third parties.
9. OWNERSHIP
Unless otherwise agreed in writing, all installations remain the property of Santa Flora until full payment has been received.
10.HIRE ITEMS
Where installations include hired structures, frames, props
or decorative elements:
• Ownership remains with Santa Flora.
• Damage or loss will be charged to the Client.
• Collection dates must be respected.
11.CLIENT RESPONSIBILITY
Following completion, the Client assumes responsibility for protecting the installation from damage, misuse or unauthorised alterations.
12.PHOTOGRAPHY AND PUBLICITY
Santa Flora may photograph completed projects and use images for:
• Portfolio purposes
• Social media
• Marketing materials
• Press and promotional activities
Clients may request confidentiality in writing before project commencement.
13.INTELLECTUAL PROPERTY
All concepts, drawings, renderings, mood boards, visualisations and design proposals remain the intellectual property of Santa Flora Limited.They may not be copied, reproduced or used without written consent.
14.LIMITATION OF LIABILITY
Santa Flora’s liability shall be limited to the value of the relevant contract. Santa Flora shall not be liable for indirect, consequential or business losses.
15.CANCELLATIONS
Cancellation charges may apply:
• More than 60 days before installation – deposit retained.
• 30–60 days before installation – up to 75% of contract value.
• Less than 30 days before installation – up to 100% of contract value.
16.FORCE MAJEURE
Santa Flora shall not be liable for failure to perform obligations due to circumstances beyond its reasonable control.
17.GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
